Tokyo District Court, 2025 (Wa) 70002 [Nanocomposite Having Quantum Dots and Method for Manufacturing the Same] <Takahashi>
*No objection was raised to filing in the company's name.
⇒ Assignment of the right to obtain a patent was found.
Plaintiff A, a former technical adviser to the defendant, and plaintiff B, its founder and former representative director, sought confirmation of their co-ownership interests in rights relating to patents applied for in the defendant's name.
The plaintiffs argued that, although they had discussed a draft agreement specifying consideration for assignment of the rights (such as share acquisition rights and royalties), the draft agreement at issue had never been signed, so no agreement had been concluded; they would not have assigned their research results without compensation.
⇒ Claims dismissed (an agreement to assign the rights existed).
<The court's findings>
(1) In their capacities as officers or technical advisers to the defendant, the plaintiffs instructed a patent firm to undertake procedures naming the defendant as applicant and raised no objection to the applicant entries in the draft application documents. These facts support an inference that, no later than the filing of the respective applications at issue, there had been an agreement to assign the rights to the defendant.
(2) As to the absence of a written agreement, a written agreement is not essential to assignment of rights, and none had been prepared for another application around the same time, so its absence was not unnatural.
(3) As to the argument that assignment without compensation would be strange, relations had not deteriorated at the time of filing, and plaintiff A had offered to help launch the business without compensation. In those circumstances, it is entirely conceivable that the rights would first be assigned to the defendant even without an agreement on consideration.
